Refund Policy

  • On any refund, your Nirmaan AI access, public portfolio, and (if issued) Certificate are revoked.
  • Limited exceptions apply where Vasudhaiva discontinues the programme, where there has been a material service failure, or where required by law.

If you are an Indian consumer, this Policy does not affect your statutory rights under the Consumer Protection Act, 2019, including your right to approach a Consumer Dispute Redressal Commission. If you are a participant outside India, your rights under your home jurisdiction’s consumer protection law are also preserved.

1. Purpose and Scope

This Refund Policy ("Policy") sets out the circumstances in which Vasudhaiva AI Solutions LLP ("Vasudhaiva", "we", "us", or "our") will refund fees paid by a participant ("you", "your", or "the participant") for the Nirmaan AI ("Nirmaan AI").

This Policy forms part of, and must be read together with, the Nirmaan AI Terms of Service (VAI/POL/2026/TOS-001). In the event of any conflict between this Policy and the Terms of Service in respect of refunds, this Policy prevails.

This Policy applies to all participants in Nirmaan AI, in all markets in which Nirmaan AI is offered, save where a market-specific addendum has been published. Where a market-specific addendum applies, that addendum is read with this Policy and prevails over this Policy in case of conflict.

2. Definitions

Defined terms in this Policy carry the meaning given in the Terms of Service. In addition:

  • "Enrolment Date" means the date on which Vasudhaiva confirms successful payment of the Nirmaan AI fee and provisions platform access to the participant.
  • "Participant Submission" means any project deliverable, file, text, link, or other material submitted by the participant in response to a project brief on Nirmaan AI, as defined in the Terms of Service.
  • "Refund Request" means a request made by the participant in accordance with clause 5 of this Policy.
  • "Working Day" means a day, other than a Saturday, Sunday, or a public holiday in Vadodara, Gujarat, on which banks in India are open for general business.

3. Headline Position

Subject to clauses 6 (Exceptions), 8 (Cancellation by Vasudhaiva), and applicable law, refunds are governed by the windows in clause 4 below. The right to a refund is determined by reference to two factors: (a) the time elapsed since the Enrolment Date, and (b) whether a Participant Submission has been made.

4.1 Calculation of Time

Time periods in clause 4 are calculated from the Enrolment Date and run inclusively of the day of enrolment. For example, where the Enrolment Date is 1 June 2026, the seven-day cooling-off period ends at 23:59 IST on 7 June 2026, and the fourteen-day partial-refund window ends at 23:59 IST on 14 June 2026.

4.2 Determination of Submission Status

Whether a Participant Submission has been made is determined by reference to the records of the Nirmaan AI platform. A submission is treated as having been made when the participant uses the platform's submission tool to upload or post a deliverable against a project brief, and the platform records successful submission. Drafts saved but not submitted do not constitute Participant Submissions.

4.3 Bank and Payment-Gateway Charges

Where a refund is processed, any non-refundable third-party charges incurred by Vasudhaiva in respect of the original payment (including, where applicable, payment gateway fees, currency-conversion charges, and bank processing charges that the gateway does not return to Vasudhaiva on refund) may be deducted from the refund amount. Where deductions are made, the calculation will be communicated to the participant alongside the refund decision.

5. How to Request a Refund

Refund Requests are made through the in-platform Refund Request Form, accessible from the participant's account settings under "billing". The Form captures the order identifier, the reason for the request, and confirms the submission status. The Form is the canonical channel for refund requests.

Where the participant is unable to access the Form (for example, because the account has been suspended), a Refund Request may be submitted by email to legal@vasudhaiva.ai, with the subject line "Refund Request — [Participant Name] — [Order ID]". Email requests are subject to the same conditions and timelines as Form requests.

On receipt, Vasudhaiva applies the process set out in clause 9 (Refund Processing Timelines).

6. Exceptions — Refunds Available Outside the Standard Windows

Notwithstanding clause 4, a refund may be approved at Vasudhaiva's discretion, or as required by law, in the following circumstances:

6.1 Material Service Failure

Where, due to a fault attributable to Vasudhaiva, the participant has been substantially prevented from accessing or completing the Nirmaan AI programme for an extended period, and Vasudhaiva is unable to remediate the failure within a reasonable time. The quantum of refund will be assessed on the facts and may be a full or partial refund.

6.2 Discontinuation by Vasudhaiva

Where Vasudhaiva discontinues the participant's Nirmaan AI programme without cause attributable to the participant. In such case, a pro-rata refund will be issued, calculated by reference to the proportion of the programme that the participant had not yet been able to access at the time of discontinuation. Clause 8 sets out the further consequences of discontinuation.

6.3 Duplicate or Erroneous Charge

Where the participant has been charged more than once for the same enrolment, or where a charge has been processed in error. The duplicate or erroneous amount will be refunded in full and is not counted against the windows in clause 4.

6.4 Statutory Right

Where applicable law confers on the participant a statutory right to a refund that exceeds the rights granted by this Policy. The statutory right will be honoured. For Indian consumers, this includes any rights conferred by the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, including in respect of misleading representations or unfair trade practices.

6.5 Goodwill Refund

Where Vasudhaiva, in its absolute discretion, considers it appropriate to grant a refund as a goodwill gesture. A goodwill refund does not establish a precedent or an entitlement in any other case.

7. Consequences of a Refund

On approval of any refund (whether full, partial, or under clause 6), the following consequences take effect, with effect from the date of approval:

  • the participant's access to the Nirmaan AI platform is revoked, and the account is closed or, where the participant requests, retained in a closed state with no programme access;
  • the participant's public portfolio at nirmaan.vasudhaiva.ai/portfolio/[username] is taken offline within thirty (30) days, in line with the Privacy Policy;
  • any Participant Submissions stored on the Nirmaan AI platform are handled in accordance with the Privacy Policy, and may be deleted or irreversibly anonymised;
  • if a Certificate has been issued, the Certificate is revoked under clause 10.4 of the Terms of Service, and the verification page at nirmaan.vasudhaiva.ai/verify is updated to reflect that the Certificate is revoked;
  • any active subscription, instalment plan, or recurring billing arrangement is cancelled in accordance with clauses 11 and 12; and
  • any third-party benefit conferred under the programme (such as the AI Mentor, the Multi-Agent Simulation, or premium features) ceases.

The participant remains entitled, after a refund, to retain copies of their own Participant Submissions for personal use. Vasudhaiva does not assert any continuing right to use a participant's submissions after the refund is approved, save for any irreversibly anonymised forms already used in platform improvement before the date of refund and to the extent permitted under the Privacy Policy and the consents previously given.

8. Cancellation by Vasudhaiva

8.1 Discontinuation Without Cause

Where Vasudhaiva, for any reason not attributable to the participant, decides to discontinue a Nirmaan AI programme that the participant has enrolled in (including by way of withdrawal of a domain track, market closure, or strategic change), Vasudhaiva will give the participant reasonable advance notice and will offer either: (a) transfer to an equivalent Nirmaan AI programme without additional charge; or (b) a pro-rata refund as contemplated by clause 6.2.

8.2 Termination for Cause

Where Vasudhaiva terminates a participant's access to Nirmaan AI for cause under clause 13.1 of the Terms of Service (including for breach of the Acceptable Use rules, the prohibitions in clause 12 of the Terms of Service, or fraud, misrepresentation, or misconduct), the participant is not entitled to a refund. The fees paid are forfeited. Where the breach is reasonably curable and Vasudhaiva determines, in its discretion, that a partial refund is appropriate in the circumstances, a goodwill refund may be issued under clause 6.5.

9. Refund Processing Timelines

4Approval & Payment Gateway InstructionOn approval, Vasudhaiva instructs the relevant payment gateway (Razorpay for India, Stripe and other regional gateways for non-India markets) to process the refund to the original payment instrument.
5Settlement to ParticipantThe refund is credited to the participant's original payment instrument within seven (7) working days of approval. Time taken by the participant's bank or card issuer to credit the amount may add up to a further five (5) working days, and is outside Vasudhaiva's control.
6Access RevocationOn approval of any refund (full or partial), the consequences in clause 7 take effect. These include the revocation of platform access, portfolio take-down, and Certificate revocation, as applicable.

Vasudhaiva will use reasonable efforts to expedite refund processing. Delays caused by the participant (for example, by failure to respond to information requests) or by third parties (for example, payment gateway downtime or the participant's bank) are not counted against Vasudhaiva's timelines.

10. Currency, Taxes, and Forex

10.1 Currency of Refund

Refunds are made in the same currency as the original payment, save where the payment gateway requires otherwise.

10.2 GST and Indirect Taxes

For Indian participants, Goods and Services Tax (GST) charged on the original invoice is refunded along with the principal amount, in proportion to the principal refunded. Vasudhaiva will issue a credit note in respect of the refunded amount in accordance with the Central Goods and Services Tax Act, 2017.

For non-India participants, applicable indirect taxes (such as VAT, GST, or sales tax) charged on the original invoice are refunded in proportion to the principal refunded, in accordance with the relevant local tax law. Where Vasudhaiva is unable to recover such taxes from the relevant tax authority on refund (for example, owing to time-of-supply rules), Vasudhaiva reserves the right to deduct the irrecoverable tax from the refund and to communicate the calculation to the participant.

10.3 Forex Movements

Where a participant has paid in a currency other than Indian Rupees, the refunded amount in that currency may differ from the original amount paid by Vasudhaiva, owing to foreign-exchange movements between the date of payment and the date of refund. Vasudhaiva is not liable for any such difference.

11. EMI and Instalment Plans

11.1 EMI Cancellation

Where the participant has paid the Nirmaan AI fee through an EMI (equated monthly instalment) facility offered by the payment gateway or by a partner financial institution, the cancellation of outstanding EMIs is processed through the payment gateway (such as Razorpay) on approval of the refund. Vasudhaiva will instruct the payment gateway to cancel any future EMIs and to refund the principal amount paid to date in accordance with clause 4 (and, where applicable, clause 6).

11.2 Interest, Foreclosure, and Bank Charges on EMI

Interest already accrued, foreclosure charges, processing fees, or other bank charges levied by the participant's bank or the EMI partner under the EMI facility are not refundable by Vasudhaiva. The participant should consult the EMI partner's terms for the treatment of such charges.

11.3 Information for the Participant

Vasudhaiva will, on request, provide the participant with confirmation of EMI cancellation as instructed to the payment gateway. The actual cancellation, refund posting, and any communication with the participant's bank are within the gateway's and the bank's control.

12. Subscription or Recurring-Billing Arrangements

Where Nirmaan AI is offered to the participant on a subscription or recurring-billing basis (for example, monthly or quarterly), the participant may cancel the subscription at any time through account settings. Cancellation prevents future billing cycles. Fees already paid in respect of an active billing cycle are not refundable, save under the windows in clause 4 (calculated by reference to the start of the relevant billing cycle) or under the exceptions in clause 6.

13. Chargebacks and Payment Disputes

Where the participant raises a chargeback or payment dispute with their bank or card issuer in respect of a Nirmaan AI fee, Vasudhaiva will respond to the chargeback through the payment gateway, providing evidence of enrolment, of platform access, and of any Participant Submissions made. The participant is encouraged to use the channels in clause 5 of this Policy before raising a chargeback.

A chargeback raised after the participant has obtained substantial benefit from Nirmaan AI, including after a Participant Submission has been made or after the issuance of a Certificate, may be defended by Vasudhaiva. Costs reasonably incurred by Vasudhaiva in defending an unsuccessful chargeback by the participant are recoverable from the participant.

14. Communications about Refunds

Vasudhaiva communicates about refunds through the participant's registered email address. The participant is responsible for ensuring that the email address on the Nirmaan AI account is current. Where the participant has opted in to WhatsApp service notifications, summary notifications about refund status may also be sent through that channel.

15. Records and Audit Trail

Vasudhaiva maintains records of all Refund Requests, decisions, and refund payments for a period of eight (8) years from the end of the financial year in which the request was made, in line with the record-retention requirements under the Income Tax Act, 1961 and the Central Goods and Services Tax Act, 2017. Records include the timestamp of the request, the participant identifier, the original order identifier, the decision, the calculation, the gateway transaction reference, and any communications with the participant.

16. Grievance and Escalation

If you are not satisfied with the decision on a Refund Request, you may escalate the matter to the Grievance Officer at legal@vasudhaiva.ai. The Grievance Officer is the same person designated under the Privacy Policy and the Terms of Service. Acknowledgement is given within seventy-two (72) hours and a substantive response is provided within thirty (30) days.

If the matter remains unresolved, the participant may pursue the dispute-resolution channels set out in clause 20 of the Terms of Service. Where the participant is an Indian consumer, the participant may, additionally or alternatively, approach the Consumer Dispute Redressal Commission of competent jurisdiction. Where the participant is resident outside India, the participant retains all non-waivable statutory rights in their home jurisdiction.

17. Amendments to this Policy

We may revise this Policy from time to time. Where a revision is material, we will give at least thirty (30) days' notice of the revision by email and by a prominent notice on Nirmaan AI. Refund Requests are governed by the Policy in force at the time the participant enrolled, except where the revised Policy is more favourable to the participant, in which case the revised Policy applies. Continued use of Nirmaan AI after the effective date of a revised Policy constitutes acceptance of the revised Policy in respect of future enrolments and future Refund Requests.
