At a glance
- Nirmaan AI is a paid professional development programme delivered online by Vasudhaiva AI Solutions LLP. It is not a university degree, diploma, or accredited qualification.
- To enrol, you must be at least 18 years of age, or 16–17 with verifiable consent from a parent or lawful guardian.
- Nirmaan AI uses artificial intelligence to generate project briefs, deliver review feedback, run the AI Mentor, and produce placement reports. AI is not a substitute for licensed professional advice.
- You retain ownership of the work you submit. We retain ownership of the platform, project briefs, AI-generated reviews, and the certificate.
- Refunds are governed by our Refund Policy, summarised at clause 10.
- These Terms are governed by Indian law. If you are an Indian consumer, your statutory rights under the Consumer Protection Act, 2019 are not affected by these Terms.
Please read these Terms in full before you enrol. Where words are capitalised, their meanings are given in clause 3. Words like "we", "our", and "Vasudhaiva" mean Vasudhaiva AI Solutions LLP. Words like "you" and "your" mean the person who is enrolling in or using Nirmaan AI.
1. Acceptance and Eligibility
1.1 Acceptance
These Terms of Service ("Terms") form a binding agreement between you and Vasudhaiva AI Solutions LLP, a Limited Liability Partnership incorporated under the Limited Liability Partnership Act, 2008, having LLPIN ACL-1443 and its registered office at Office No. 622, 6th Floor, Broadway Empire Building, Bhaily Police Station, Vadodara – 391410, Gujarat, India ("Vasudhaiva", "we", "us", or "our").
You accept these Terms by selecting the affirmative consent checkbox presented during enrolment, or by accessing or using Nirmaan AI in any other way after the effective date of these Terms. If you do not accept these Terms, you must not access or use Nirmaan AI.
1.2 Eligibility
To enrol in or use Nirmaan AI, you must:
- be at least eighteen (18) years of age, or, if you are between sixteen (16) and seventeen (17) years of age, have obtained the verifiable consent of a parent or lawful guardian in the manner contemplated by the Digital Personal Data Protection Act, 2023;
- have the legal capacity to enter into a binding contract under the laws applicable to you;
- not be a person to whom we are prohibited from providing Nirmaan AI under any applicable law, sanction, or trade restriction; and
- not have previously been suspended or removed from Nirmaan AI, unless we have expressly readmitted you in writing.
If you are accepting these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation, and references to "you" include that organisation.
1.3 Companion Documents
These Terms must be read together with the Privacy Policy (VAI/POL/2026/PP-001), the Refund Policy (VAI/POL/2026/RP-001), the Cookie Policy (VAI/POL/2026/CP-001), and the consents you provide through our consent flow. Together these constitute the entire agreement between you and us in respect of Nirmaan AI.
2. Definitions and Interpretation
In these Terms, unless the context otherwise requires:
- "AI Mentor" means the artificial intelligence conversational guidance system, including the Career Goal Agent, that forms part of Nirmaan AI;
- "Nirmaan AI" or "Platform" means the Nirmaan AI programme offered by Vasudhaiva at nirmaan.vasudhaiva.ai, including all sub-domains, mobile applications, certificate verification systems, and connected features;
- "Certificate" means the professional programme completion certificate issued by Vasudhaiva to a participant on satisfactory completion of a Nirmaan AI programme, the validity of which can be verified at nirmaan.vasudhaiva.ai/verify;
- "Multi-Agent Simulation" means the simulated engagement scenario at the Expert level of Nirmaan AI in which four AI agents in the personas of Client, Manager, Peer, and Domain Expert interact with the participant;
- "Participant Submission" means any project deliverable, file, text, link, or other material that you submit to Nirmaan AI in response to a project brief;
- "Privacy Policy" means the privacy policy governing personal data on Nirmaan AI, with document number VAI/POL/2026/PP-001;
- "VidyaRaksha" means Vasudhaiva's proprietary AI governance, routing, and content-moderation layer through which AI prompts and responses on Nirmaan AI are processed.
References to statutes are to Indian statutes unless otherwise stated, and include any amendments, re-enactments, or rules made under them.
3. Nature of the Programme
Nirmaan AI is a professional development programme. It is not a degree, diploma, or accredited educational qualification. The Certificate is not issued by a university, college, or any institution recognised under the University Grants Commission Act, 1956, the All India Council for Technical Education Act, 1987, or any equivalent Indian or foreign law.
Nirmaan AI is delivered as a paid, online professional development programme. Programme content includes project briefs, AI-driven review feedback, AI Mentor interactions, and the issuance of a Certificate on satisfactory completion.
Vasudhaiva is the issuer of the Certificate in its own capacity as a private limited liability partnership. The Certificate evidences your completion of the Nirmaan AI programme as defined by Vasudhaiva. It does not evidence any university qualification, government qualification, professional licence, or accredited credential.
You agree that you will not represent the Certificate, in any context, as a degree, diploma, accredited qualification, or government-recognised credential, and that any such representation is a material breach of these Terms.
4. Your Account
4.1 Registration
To use Nirmaan AI, you must register an account by providing the information required in the enrolment flow. The information you provide must be true, current, and complete, and you must keep it up to date through your account settings.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us at legal@vasudhaiva.ai of any unauthorised access or other security incident affecting your account. We are not liable for any loss arising from your failure to safeguard your credentials, except to the extent caused by our wilful misconduct or gross negligence.
4.3 One Account per Participant
Nirmaan AI is offered on a one-account-per-individual basis. You may not share, sell, transfer, or assign your account or your access to Nirmaan AI. Sharing of accounts is grounds for suspension or termination.
5. The Nirmaan AI Service
On enrolment, Nirmaan AI provides you with structured access to:
- project briefs in your chosen domain;
- submission tools to upload Participant Submissions against those briefs;
- AI-generated review feedback on your submissions;
- AI Mentor guidance, including the Career Goal Agent, in text and (where enabled) voice modes;
- a public-facing portfolio at nirmaan.vasudhaiva.ai/portfolio/[username] (subject to your portfolio settings);
- a placement report on programme completion, generated using AI; and
- at the Expert level, the Multi-Agent Simulation.
Vasudhaiva reserves the right to modify, augment, or discontinue specific features of Nirmaan AI from time to time, provided that any change that materially diminishes the programme will be subject to a reasonable notice period and, where appropriate, a refund in accordance with the Refund Policy.
6. Artificial Intelligence — Disclosures and Limitations
Nirmaan AI relies on artificial intelligence for several core functions. The disclosures in this clause apply throughout your participation.
6.1 AI-Generated Content
Project briefs, review feedback, AI Mentor responses, the placement report, and certain career-market intelligence presented on Nirmaan AI are generated by artificial intelligence systems. These outputs are not reviewed by licensed professionals before being shown to you. They may be incomplete, inaccurate, or out of date. You are responsible for independently verifying any factual statement, statistic, or recommendation before relying on it.
6.2 The AI Mentor and Career Goal Agent
The AI Mentor is an AI system. It is not a human professional. The AI Mentor will identify itself as an AI at first interaction. The Career Goal Agent stores a Career Context profile derived from your interactions, including your stated goals, gaps, timeline, constraints, and concerns. The Career Context is held subject to the Privacy Policy and may be viewed, edited, or deleted through your account settings at any time.
6.3 No Professional Advice
Nothing on Nirmaan AI, including any AI Mentor response, project brief, review, or placement report, constitutes legal, medical, financial, tax, immigration, or other regulated professional advice. Salary data, market data, and career projections are illustrative and not guaranteed. Where you require professional advice, please consult an appropriately qualified human professional.
6.4 Multi-Agent Simulation (Expert level)
If you progress to the Expert level, you will engage with the Multi-Agent Simulation, in which four AI agents adopt the personas of Client, Manager, Peer, and Domain Expert. These are AI systems, not real professionals. The Multi-Agent Simulation is intended to provide realistic practice; outputs from the simulation are not statements by Vasudhaiva or any other identified person, and they should not be cited or relied on as such.
6.5 VidyaRaksha Governance
All AI prompts and responses on Nirmaan AI pass through Vasudhaiva's VidyaRaksha governance layer. VidyaRaksha applies content-moderation, classification, and safety rules. We may, through VidyaRaksha, refuse to process inputs or to display outputs that we reasonably consider to be unsafe, unlawful, or otherwise inconsistent with these Terms or our Acceptable Use rules. Where a moderation action affects you, you may seek review by writing to legal@vasudhaiva.ai; we will respond within a reasonable time.
6.6 Automated Decisions
Certain assessments on Nirmaan AI, including review scores, are produced by AI systems. Where any AI-generated assessment materially affects your standing in the programme — for example, by determining whether you proceed to the next level or whether a Certificate is issued — you may, on written request to legal@vasudhaiva.ai, seek a human-overseen review of that assessment. We will respond within a reasonable time and, where appropriate, adjust the assessment.
7. Fees, Taxes, and Payment
The fees applicable to your Nirmaan AI programme are displayed during the enrolment flow, before you confirm payment. Fees are exclusive of applicable taxes, which will be added at checkout where required by law. For Indian participants, Goods and Services Tax (GST) at the prevailing rate is added to the displayed fee. For participants outside India, the fee may be denominated in local currency and may be subject to local tax as displayed at checkout.
Payments are processed by independent payment gateways, including Razorpay (in India) and Stripe and other regional gateways (in other markets). We do not store card numbers, CVVs, UPI VPAs, or bank credentials. The processing of your payment information is also subject to the privacy notice of the relevant payment gateway.
You are responsible for any bank, network, or currency-conversion charges levied by your bank or card issuer.
8. Refunds
Refunds are governed by our Refund Policy (document number VAI/POL/2026/RP-001), which forms part of these Terms. The headline position is summarised below for your convenience; in the event of any conflict between this summary and the Refund Policy, the Refund Policy prevails.
- A full refund is available within seven (7) days of enrolment if you have not made any Participant Submission.
- A 50% refund is available within fourteen (14) days of enrolment, where the request is made before substantive submission of programme work.
- No refund is available after your first Participant Submission has been made.
Refunds are processed within seven (7) working days of approval, to the original payment instrument. On a refund being granted, your access to Nirmaan AI, your portfolio, and any Certificate issued is revoked, and the Certificate's status is updated accordingly in the verification system.
9. Intellectual Property
9.1 Vasudhaiva Platform IP
All intellectual property rights in and to Nirmaan AI, including the platform code, design, brand and trade marks (including "Nirmaan AI", "Nirmaan AI", and "Vasudhaiva AI"), VidyaRaksha, project briefs, AI prompt templates, the design of the Multi-Agent Simulation, the Certificate template, and all other materials made available by Vasudhaiva on Nirmaan AI, are owned by, or duly licensed to, Vasudhaiva. No right or licence is granted to you by these Terms except as expressly set out in clause 9.4.
9.2 Participant Submissions
You retain all intellectual property rights in your Participant Submissions. By submitting a Participant Submission, you grant Vasudhaiva a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, display, and use the Participant Submission for the purpose of: (a) providing Nirmaan AI to you, including the generation of AI review feedback; (b) displaying the Participant Submission as part of your public portfolio (subject to your portfolio settings); and (c) the use of irreversibly anonymised forms of the Participant Submission for platform improvement, but only where you have separately consented to such use through the consent flow.
9.3 AI-Generated Outputs
AI-generated review feedback, the placement report, AI Mentor conversation outputs, and any other AI outputs produced by Nirmaan AI in response to your inputs are owned by Vasudhaiva. We grant you a perpetual, worldwide, royalty-free, non-exclusive licence to use these outputs for your personal, non-commercial career development purposes, including in your own portfolio, applications, and personal branding. You may not resell, sublicense, or systematically extract these outputs for use in any commercial product or competing platform.
9.4 Project Briefs and Use of Real-World References
Project briefs may reference real companies, products, services, public information, and current events for educational and pedagogical purposes. Such references are made for illustrative purposes only and do not represent any commercial relationship between Vasudhaiva and the named entities. Your responses to such project briefs are independent academic work, and they are not statements by Vasudhaiva or any named entity.
9.5 Public Portfolio
Where you choose to make your portfolio public, you authorise Vasudhaiva to display your name, photograph (if uploaded), Participant Submissions, and Certificate metadata at the public portfolio URL. You may make your portfolio private, or remove individual items, through your account settings at any time.
9.6 Feedback
If you provide Vasudhaiva with feedback, suggestions, bug reports, or ideas regarding Nirmaan AI, you grant Vasudhaiva a perpetual, worldwide, royalty-free, sub-licensable licence to use such feedback for any purpose, without any obligation to you.
10. Certificates and Verification
10.1 Issuance
On satisfactory completion of a Nirmaan AI programme, Vasudhaiva will issue a Certificate to you. The Certificate is issued by Vasudhaiva in its own capacity, and not by any university, college, or accredited educational institution.
10.2 Verification
Each Certificate carries a unique identifier and a QR code that links to a verification page at nirmaan.vasudhaiva.ai/verify. The verification page displays the Certificate's status (active, revoked, or amended), issue date, and a SHA-256 integrity hash. Third parties may use this page to confirm the authenticity of a Certificate that you have shared with them.
10.3 Permitted Use of the Certificate
You may share, display, and reference the Certificate in any context relating to your professional development, including your résumé, your LinkedIn profile, and applications for employment or further education, provided that you accurately describe the Certificate as a professional programme completion certificate issued by Vasudhaiva AI Solutions LLP, and not as a degree, diploma, accredited qualification, or government-recognised credential. Misrepresenting the Certificate is a material breach of these Terms and may result in revocation.
10.4 Revocation
Vasudhaiva may revoke a Certificate at any time on reasonable notice in the event of: (a) discovery that the underlying assessment was vitiated by fraud, misconduct, or misrepresentation; (b) refund of the relevant programme fee; or (c) misrepresentation by the participant of the Certificate's status. A revoked Certificate is shown as revoked on the verification page.
11. Acceptable Use
You agree to use Nirmaan AI only for the purposes for which it is intended, and in compliance with all applicable laws and these Terms. In particular, you agree to:
- submit only Participant Submissions that are your own original work, or in respect of which you have all necessary rights and permissions;
- complete the programme in a manner that fairly reflects your own learning effort, and not to outsource Participant Submissions in a manner that misrepresents your capability;
- interact with the AI Mentor and Multi-Agent Simulation in good faith, recognising that they are AI systems;
- respect the intellectual property rights of Vasudhaiva and of third parties;
- comply with VidyaRaksha moderation actions; and
- treat Vasudhaiva personnel and other participants with respect and civility.
12. Prohibited Conduct
You must not, in connection with Nirmaan AI:
- submit any Participant Submission, prompt, or message that is unlawful, infringing, defamatory, obscene, hateful, or harassing, or that promotes violence, self-harm, child sexual abuse material, or other harmful content;
- submit any content that contains personal data of third parties without their authority, or any sensitive personal data of any individual that is not necessary for the relevant project brief;
- attempt to circumvent, disable, or interfere with VidyaRaksha or any other security, moderation, or rate-limiting feature of Nirmaan AI;
- attempt to extract, reverse-engineer, or replicate the AI prompts, models, or governance rules used by Nirmaan AI, including by way of prompt-injection or jailbreak techniques;
- scrape, crawl, or otherwise extract data from Nirmaan AI using automated means, except for sitemap and robots.txt-compliant indexing by general-purpose search engines;
- introduce any malware, virus, or other harmful code, or attempt unauthorised access to any part of Nirmaan AI;
- submit Participant Submissions generated wholly or substantially by another generative AI system without disclosing such use, where the project brief calls for original work by you;
- share, sell, lease, or otherwise transfer your account or your access credentials to any third party;
- impersonate any other person, including any other participant or Vasudhaiva personnel; or
- use Nirmaan AI to develop, train, fine-tune, or benchmark a competing AI product or service.
13. Suspension and Termination
13.1 By Vasudhaiva
We may suspend or terminate your access to Nirmaan AI, in whole or in part, with or without notice, where we reasonably believe that you have materially breached these Terms, that your continued use poses a risk to Nirmaan AI or to other participants, or where we are required to do so by law. Where the breach is curable, we will, where reasonable in the circumstances, give you an opportunity to cure it before termination.
13.2 By You
You may terminate your participation at any time by closing your account through the account settings, subject to the Refund Policy. Closure of your account triggers the data handling described in the Privacy Policy, including the take-down of your public portfolio.
13.3 Consequences of Termination
On termination: (a) your right to access Nirmaan AI ceases; (b) any Certificate issued before termination remains valid unless revoked under clause 10.4; (c) any fees already paid are non-refundable except as provided in the Refund Policy; and (d) clauses that by their nature should survive termination — including the intellectual property, disclaimers, limitation of liability, indemnity, and dispute-resolution provisions — will continue to apply.
14. Privacy and Data Protection
Your personal data is handled in accordance with our Privacy Policy (VAI/POL/2026/PP-001). The Privacy Policy describes the categories of personal data we process, the purposes and legal basis for processing, retention periods, third-party processors (including AI processing providers in the United States), your rights under the Digital Personal Data Protection Act, 2023, and the contact details of the Grievance Officer. By accepting these Terms and providing the consents requested in our consent flow, you acknowledge the practices described in the Privacy Policy.
15. Disclaimers
Subject to applicable law and to clause 18, Nirmaan AI is provided "as is" and "as available". To the maximum extent permitted by law, Vasudhaiva disclaims all express and implied warranties in respect of Nirmaan AI, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted operation. Without limiting the generality of the foregoing, Vasudhaiva does not warrant that Nirmaan AI will achieve any particular career, employment, salary, admissions, or other outcome for you.
AI-generated outputs may contain errors, omissions, or biases. You are responsible for independent verification before any reliance.
16. Limitation of Liability
Subject to clause 16.3, and to the maximum extent permitted by applicable law:
16.1 Excluded Losses
Vasudhaiva is not liable to you, whether in contract, tort (including negligence), under statute, or otherwise, for any indirect, incidental, consequential, special, exemplary, or punitive loss or damage; for any loss of profits, revenue, anticipated savings, business opportunity, employment opportunity, or goodwill; for any loss or corruption of data; or for any loss arising from your reliance on AI-generated outputs.
16.2 Aggregate Cap
Vasudhaiva's total aggregate liability to you in connection with Nirmaan AI, in any twelve-month period, will not exceed the higher of (a) the total fees paid by you to Vasudhaiva in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) Indian Rupees Twenty-Five Thousand (INR 25,000).
16.3 Carve-Outs
Nothing in these Terms limits or excludes Vasudhaiva's liability for: (a) wilful misconduct, fraud, or fraudulent misrepresentation; (b) gross negligence; (c) death or personal injury caused by negligence; (d) any liability that cannot be limited or excluded under applicable law, including, in the case of Indian consumers, statutory rights under the Consumer Protection Act, 2019; or (e) Vasudhaiva's indemnification obligations under any separate written agreement.
17. Your Indemnity
You will indemnify, defend, and hold harmless Vasudhaiva, its Designated Partners, employees, and agents, from and against any third-party claim, demand, action, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your Participant Submissions or other content you submit to Nirmaan AI; (c) your use of Nirmaan AI in violation of applicable law; or (d) your misrepresentation of the Certificate. We will give you reasonable notice of any such claim, allow you to assume conduct of the defence subject to our right to participate at our cost, and provide reasonable cooperation. You must not settle any claim that imposes any liability or admission on Vasudhaiva without our prior written consent.
18. Force Majeure
Neither party is liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) caused by an event beyond its reasonable control, including acts of God, natural disasters, pandemic-related restrictions, war, civil unrest, government action, internet or telecommunications outages, or failure of upstream service providers. The affected party will use reasonable efforts to mitigate the impact and to resume performance.
19. Amendments to These Terms
We may revise these Terms from time to time. Where a revision is material, we will give you at least thirty (30) days' notice of the revision by email and by a prominent notice on Nirmaan AI. Your continued use of Nirmaan AI after the effective date of a revised version of the Terms constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you may close your account, and the Refund Policy will apply to any fees already paid.
20. Dispute Resolution and Governing Law
20.1 Good-Faith Resolution
Before commencing any formal dispute, you agree first to contact our Grievance Officer at legal@vasudhaiva.ai with a clear description of the dispute and the relief you seek. We will respond within thirty (30) days. The parties will attempt in good faith to resolve the dispute through this channel.
20.2 Governing Law
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of India.
20.3 Forum — Indian Participants
Where you are resident in India, any dispute that is not resolved under clause 20.1 will be subject to the exclusive jurisdiction of the courts at Vadodara, Gujarat. Nothing in this clause limits the right of an Indian consumer to invoke the jurisdiction of the consumer dispute redressal commissions established under the Consumer Protection Act, 2019.
20.4 Forum — Participants Outside India
Where you are resident outside India, any dispute that is not resolved under clause 20.1 will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules in force at the time. The seat of the arbitration will be Singapore. The tribunal will consist of a sole arbitrator. The language of the arbitration will be English. The award of the tribunal will be final and binding on the parties. This clause 20.4 does not preclude either party from seeking interim or conservatory relief from any court of competent jurisdiction.
20.5 Statutory Rights Preserved
Nothing in this clause 20 affects any non-waivable statutory rights you may have under applicable law, including under the Consumer Protection Act, 2019 in India, or under the equivalent law of your home jurisdiction.
21. General Provisions
21.1 Entire Agreement
These Terms, together with the Privacy Policy, the Refund Policy, the Cookie Policy, and the consents you provide through our consent flow, constitute the entire agreement between you and Vasudhaiva in respect of Nirmaan AI, and supersede any prior agreement or understanding.
21.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force.
21.3 No Waiver
A failure or delay by either party in exercising any right under these Terms is not a waiver of that right.
21.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor entity in connection with a merger, restructuring, or sale of business, on notice to you.
21.5 No Agency
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Vasudhaiva.
21.6 Notices
Notices to Vasudhaiva must be sent to legal@vasudhaiva.ai or to the registered office address set out at the head of these Terms. Notices to you may be sent to the email address on your Nirmaan AI account.
21.7 Language
These Terms are made in the English language. Any translation is provided for convenience only; in the event of conflict, the English version prevails.
